Kolosseum provides Key Opinion Leader (KOL) marketing services for cryptocurrency and blockchain projects. Our services include, but are not limited to, influencer partnerships, campaign management, community growth, analytics, and launch campaigns.

3. Eligibility

You must be at least 18 years old and have the legal capacity to enter into contracts to use our services. By using our services, you represent and warrant that you meet these requirements.

4. Service Agreements

Specific terms for marketing campaigns and services will be outlined in separate service agreements or statements of work. These Terms serve as the general framework for all engagements.

• All campaigns require a signed service agreement
• Payment terms and deliverables will be specified in individual agreements
• Campaign timelines and KOL selection are subject to availability
• Performance metrics and reporting frequency will be agreed upon in advance

5. Payment and Fees

Payment terms include:

• Fees are specified in individual service agreements
• Payment is typically required upfront or according to agreed milestones
• All fees are non-refundable unless otherwise specified in writing
• Late payments may result in campaign suspension or termination
• Cryptocurrency payments may be accepted subject to agreement

6. Client Responsibilities

As a client, you agree to:

• Provide accurate and complete information about your project
• Respond to requests for materials, approvals, and feedback in a timely manner
• Ensure your project complies with all applicable laws and regulations
• Not engage in fraudulent, misleading, or illegal activities
• Maintain confidentiality of sensitive campaign information
• Provide necessary access to platforms and resources as agreed

7. Our Responsibilities

Kolosseum agrees to:

• Provide professional marketing services as outlined in service agreements
• Work with vetted and authentic KOL partners
• Deliver regular reporting and campaign updates
• Maintain confidentiality of client information
• Act in the best interest of our clients within the scope of agreed services

8. No Guarantee of Results

While we strive to deliver the best possible results, we cannot guarantee specific outcomes such as token price appreciation, sales volume, or user acquisition numbers. Marketing performance depends on numerous factors beyond our control, including market conditions, project fundamentals, and broader industry trends.

9. Intellectual Property

Client Content: You retain all rights to your project's intellectual property. By engaging our services, you grant us a limited license to use your branding, content, and materials for campaign execution.

Our Content: Campaign strategies, reports, and other deliverables remain our intellectual property. Clients may use these materials for their internal purposes but may not resell or redistribute them.

10. Confidentiality

Both parties agree to maintain the confidentiality of sensitive information shared during the engagement. This includes, but is not limited to, campaign strategies, pricing, KOL contacts, and unreleased project information.

11. Termination

Either party may terminate services under the following conditions:

• Mutual written agreement
• Breach of terms by the other party
• Non-payment or late payment
• Illegal activities or regulatory concerns

Upon termination, the client remains responsible for payment of services rendered up to the termination date. Refunds are at our sole discretion.

12. Limitation of Liability

To the maximum extent permitted by law, Kolosseum and Areniq LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, revenue, data, or other intangible losses resulting from your use of our services. Our total liability shall not exceed the amount paid by you for the specific service giving rise to the claim.

13. Disclaimer

Our services are provided "as is" without warranties of any kind, whether express or implied. We do not provide financial, investment, or legal advice. Cryptocurrency investments carry significant risks, and clients are responsible for their own due diligence and compliance with applicable laws.

14. Indemnification

You agree to indemnify and hold harmless Kolosseum, Areniq LLC, and our affiliates, officers, agents, and employees from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from your use of our services, violation of these Terms, or violation of any rights of another party.

15. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Wyoming, United States, without regard to its conflict of law provisions. Any disputes arising from these Terms shall be resolved in the courts of Wyoming.

16. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify clients of material changes via email or website notice. Your continued use of our services after such modifications constitutes acceptance of the updated Terms.

17. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

18. Entire Agreement

These Terms, together with any service agreements and our Privacy Policy, constitute the entire agreement between you and Kolosseum regarding the use of our services and supersede all prior agreements and understandings.
